MFS decreases its ownership interest in the share capital of EDP

On September 13, 2011, Massachusetts Financial Services Company ("MFS") notified EDP on the decrease of a qualifying holding of 2.01% of the share capital of EDP. The change of the participation resulted from the sale of 5,245,246 shares (0.14% of EDP's share capital) in a market transaction, on September 8th, 2011.

As a result of this transaction, MFS now holds 68,429,598 shares, representing 1.87% of EDP's share capital and 1.87% of voting rights.

MFS also informed that the chain of relevant entities for the calculation of the qualifying shareholding in accordance with number 1 of article 20 of the Portuguese Securities Code are the following:

- Massachusetts Financial Services Company, which holds directly 58,737,990 ordinary shares of EDP, corresponding to 1.61% of EDP's share capital and 1.61% of the respective voting rights;

- MFS Heritage Trust Company, which holds 345,338 ordinary shares of EDP, corresponding to 0.01% of EDP's share capital and 0.01% of the respective voting rights;

- MFS Institutional Advisors, Inc., which holds 1,936,681 ordinary shares of EDP, corresponding to 0.05% of EDP's share capital and 0.05% of the respective voting rights;

- MFS International Ltd., which holds 3,726,007 ordinary shares of EDP, corresponding to 0.1% of EDP's share capital and 0.1% of the respective voting rights;

- MFS International (U.K.) Limited, which holds 2,995,728 ordinary shares of EDP, corresponding to 0.08% of EDP's share capital and 0.08% of the respective voting rights;

- MFS Investment Management K.K., which holds 687,854 ordinary shares of EDP, corresponding to 0.02% of EDP's share capital and 0.02% of the respective voting rights.
